Acknowledgment and Ratification; Representations and Warranties. The Borrowers acknowledge and agree that the Credit Agreement remains in full force and effect. Each Borrower represents and warrants to the [[Organization A:Organization]] that as of the date of execution of this Amendment and as of the Effective Date:

Section # Holders’ and Purchasers’ Representations, Warranties and Acknowledgment.

Ratification and Affirmation; Representations and Warranties. The Borrower hereby # acknowledges the terms of this Sixth Amendment; # ratifies and affirms its obligations under, and acknowledges its continued liability under, each Loan Document to which it is a party and agrees that each Loan Document to which it is a party remains in full force and effect as expressly amended hereby; # agrees that from and after the Sixth Amendment Effective Date each reference to the Credit Agreement in the other Loan Documents shall be deemed to be a reference to the Credit Agreement, as amended by this Sixth Amendment; and # represents and warrants to the Lenders that as of the date hereof, after giving effect to the terms of this Sixth Amendment: # all of the representations and warranties contained in each Loan Document to which it is a party are true and correct in all material respects, except to the extent any such representations and warranties are expressly limited to an earlier date, in which case, such representations and warranties shall continue to be true and correct in all material respects as of such specified earlier date, # no Default or Event of Default has occurred and is continuing and # no event, development or circumstance has occurred which individually or in the aggregate has resulted in, or could reasonably be expected to have, a Material Adverse Effect.

SECTION # Shareholder Acknowledgment. Each of the ​ acknowledges that he or she has read the representations and warranties of [[Organization A:Organization]] set forth in Article III herein and such representations and warranties are, to the best of his or her knowledge, true and correct as of the date hereof.

The Employee represents and warrants that he is under no contractual or other obligation that would prevent him from accepting the Employer’s offer of employment as set forth herein.

Ratification. Borrower hereby ratifies, confirms and agrees that, following the effectiveness of this Amendment: # the Credit Agreement, the Notes, and the other Credit Documents shall remain in full force and effect; # all guaranties, assurances, and Liens granted, conveyed, or assigned to Administrative Agent under the Credit Documents by such Person are not released, reduced, or otherwise adversely affected by this Amendment and continue to guarantee, assure, and secure full payment and performance of the present and future Obligation; and # the Notes shall continue to evidence and secure, in the manner and to the extent provided therein, the performance of the Obligations under the Credit Agreement.

Ratification. All other terms and provisions of the Agreement are hereby ratified and shall remain unchanged and in full force and effect.

Ratification. This Amendment, subject to satisfaction of the conditions set forth in Section 4 hereof, shall constitute an amendment to the Loan Agreement and all of the Loan Documents as appropriate to express the agreements contained herein. Except as specifically set forth herein, the Loan Agreement and the Loan Documents shall remain unchanged and in full force and effect in accordance with their original terms.

Ratification. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions of the Credit Agreement and shall not be deemed to be a consent to the modification or waiver of any other term or condition of the Credit Agreement. Except as expressly modified and superseded by this Amendment, the terms and provisions of the Credit Agreement are ratified and confirmed and shall continue in full force and effect.

Ratification. Borrower hereby restates, ratifies and reaffirms each and every term and condition set forth in the Loan Agreement, as amended hereby, and the Loan Documents effective as of the date hereof.
