Accuracy of Information. All Monthly Reports, Weekly Reports, Investment Requests, schedules, certificates, reports, statements, documents and other information furnished to the Administrative Agent or any other Purchaser Party by the Master Servicer pursuant to any provision of this Agreement or any other Facility Document, or in connection with or pursuant to any amendment or modification of, or waiver under, this Agreement or any other Facility Document, is, at the time the same are so furnished, complete and correct in all material respects on the date the same are furnished to the Administrative Agent or such other Purchaser Party, and does not contain any material misstatement of fact or omit to state a material fact or any fact necessary to make the statements contained therein not misleading; provided, however, that with respect to any projected or pro forma financial information, the Seller covenants only that such projected or pro forma financial information will be prepared in good faith based upon assumptions that are believed to be reasonable at the time such information is prepared, and it is understood that such projected or pro forma financial information may vary from the actual results and that such variances may be material.
