Accuracy of Exhibits. There are no contracts or documents which are required to be described in the Registration Statement or the Prospectus or the documents incorporated by reference therein or to be filed as exhibits thereto which have not been so described and filed as required.

Accuracy of Descriptions and Exhibits. The information in # the Prospectus under the captions “Description of Capital Stock,” “Oregon Control Share Act and Oregon Business Combination Act,” and “Risk Factors,” # the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 20182019 under “Item 3: Legal Proceedings,” “Item 1: Business,” and “Item 1A: Risk Factors” and # the Registration Statement under Item 15, in each case to the extent that it constitutes matters of law, summaries of legal matters, summaries of provisions of the Company’s charter or bylaws or other instruments or agreements, summaries of legal proceedings, or legal conclusions, is correct in all material respects; all descriptions in the Registration Statement and the Prospectus of any Company Documents are accurate in all material respects; and there are no franchises, contracts, indentures, mortgages, deeds of trust, loan or credit agreements, bonds, notes, debentures, evidences of indebtedness, leases or other instruments, agreements or documents required to be described or referred to in the Registration Statement or the Prospectus or to be filed as exhibits to the Registration Statement which have not been so described and filed as required.

Accuracy of Exhibits; Lock-Box Arrangements. The names and addresses of all the Lock-Box Banks together with the account numbers of the Lock-Box Accounts at such Lock-Box Banks, are specified in [Schedule II] to this Agreement (or at such other Lock-Box Banks and/or

Exhibits. Each Exhibit attached hereto is made a part hereof for all purposes.

Exhibits. All exhibits and any schedules or riders attached to this Agreement are incorporated herein by this reference and made a part hereof, and any reference in the body of the Agreement or in the exhibits, schedules or riders to the Agreement shall mean this Agreement, together with all exhibits, schedules and riders.

Exhibits. Exhibit “B-2”, Exhibit “C” and Exhibit “D” of the Declaration are hereby deleted and the Exhibits attached hereto as Exhibit “B-2,” Exhibit “C” and Exhibit “D” inserted in lieu thereof.

Exhibits. In the event of inconsistencies between this Agreement and any exhibit hereto, the terms of this Agreement will control.

Accuracy of Information. All Monthly Reports, Weekly Reports, Investment Requests, schedules, certificates, reports, statements, documents and other information furnished to the Administrative Agent or any other Purchaser Party by or on behalf of the Seller pursuant to any provision of this Agreement or any other Facility Document, or in connection with or pursuant to any amendment or modification of, or waiver under, this Agreement or any other Facility Document, is, at the time the same are so furnished, complete and correct in all material respects on the date the same are furnished to the Administrative Agent or such other Purchaser Party, and does not contain any material misstatement of fact or omit to state a material fact or any fact necessary to make the statements contained therein not misleading; provided, however, that with respect to any projected or pro forma financial information, the Seller covenants only that such projected or pro forma financial information will be prepared in good faith based upon assumptions that are believed to be reasonable at the time such information is prepared, and it is understood that such projected or pro forma financial information may vary from the actual results and that such variances may be material.

Accuracy of Representations. It understands that each of the Placement Agent and the Company is relying upon the truth and accuracy of the foregoing representations, acknowledgements and agreements in connection with the transactions contemplated by this Agreement.

Accuracy of Information. All information, certificates or statements given to Bank in connection with or pursuant to any of the Loan Documents or the loan facilities evidenced thereby will be true and complete when given.
