Vacation. Executive shall be entitled to accrue up to five (5) weeks of paid vacation per calendar year. Vacation time will accrue in accordance with the usual vacation policies in effect at from time to time, provided that notwithstanding anything in any Company policy to the contrary, Executive shall not be permitted to carry over any accrued but unused vacation time from one calendar year to the next; any accrued but unused vacation time at the end of a calendar year shall be forfeited.

Vacation. You will be entitled to up to 20 days of paid vacation in each calendar year, subject to the Company’s vacation policy in effect, as amended from time to time, pro rated for any portion of a calendar year you serve.

Vacation. Employee shall be entitled to vacation in any calendar year in accordance with the Company’s general vacation policies for senior executive employees.

Vacation. Melamed shall be entitled to vacations in accordance with RoxSan’s policy in effect from time to time, which policy shall permit her at least six (6) weeks of paid vacation per year, with any unused amount being carried over to the future. Upon the termination of her employment, Melamed shall be paid at her then salary for all accrued but unused vacation.

Consent to Offset. Candidate agrees that any repayment due GMPW under this Agreement may be deducted to the extent permitted by law from any amounts due Candidate from GMPW at the time of employment termination, including wages, accrued vacation pay, incentive compensation payments, bonuses and commissions, and hereby expressly authorizes such deduction(s).

You acknowledge and represent that, except as expressly provided in this Agreement, [[Organization A:Organization]] has paid or provided, and/or you are not otherwise owed, any and all salary, wages, bonuses, accrued vacation/paid time off, premiums, leaves, any notice of termination under the Employment Agreement, housing allowances, relocation costs, interest, severance, outplacement costs, fees, reimbursable expenses, commissions, stock, stock options, vesting, and any and all other benefits and compensation due to you. You specifically represent that you are not due to receive any commissions or other incentive compensation from [[Organization A:Organization]].

In the event that an Executive’s employment with the Company is terminated by reason of a Change of Control Termination at any time, the Executive shall be entitled to, in lieu of any other severance compensation and benefits whatsoever, the following payments and benefits (subject to the terms and conditions of this Policy), in addition to payment of any accrued and unpaid wages, and accrued and unused vacation, in accordance with applicable law:

Except for the Severance defined in [Section 11(b)] of the Agreement, I have been timely paid all compensation owed for services rendered through the Separation Date, including all salary, wages, bonuses, commissions, overtime compensation (if applicable) and payment for all accrued but unused vacation, and have timely received all meal periods and rest breaks to which I may have been entitled;

At-Will Employment. The Company and Executive acknowledge that, notwithstanding this Agreement and any benefits provided for herein, Executive’s employment is and will continue to be at-will, as defined under applicable law. If Executive’s employment terminates for any reason, including (without limitation) any termination of employment not set forth in Section 3, Executive will not be entitled to any payments, benefits, damages, awards or compensation other than the payment of accrued but unpaid wages and vacation, if any, as required by law, and any unreimbursed reimbursable expenses or pursuant to written agreements with the Company, including equity award agreements.

Overtime wage, vacation wages and special circumstances salary of Party B shall be paid in accordance with filing relevant laws and regulations.
