Surviving Obligations. Neither expiration nor termination of this Agreement shall relieve either party of any obligation accruing prior to such expiration or termination. In addition, [Sections 4.3, 4.4, 4.5, 6.3, 6.4, 7.1, 7.2, 7.3, 7.4, 8.4, 8.5, 9, 10 and 11]1]1] shall survive any expiration or termination of this Agreement.

9.4Surviving Obligations. Termination or expiration of this Agreement shall not # affect any other rights of either Party which may have accrued up to the date of such termination or expiration or # relieve Purchaser of its obligation to pay to Supplier sums due in respect of Supply Deliverables delivered prior to termination or expiration of this Agreement unless such Supply Deliverables are nonconforming or defective. The provisions of Articles 4, 7, 8, and [Sections 6.2 and 10.11]1] shall survive the termination or expiration of this Agreement.

Survival. In the event of the termination or expiration of this Agreement, all rights and obligations of the Parties under this Agreement shall terminate. [Sections 4.5, 4.6, 4.7, 4.8, 8, 10, 11, and 12]2]2] and any other obligation that by express term or its nature is intended to be performed after the expiration or termination of this Agreement shall survive the termination of expiration of the Agreement.

Survival. The following provisions shall survive expiration or termination of this Agreement for any reason, as well as any other provision which by its terms or by the context thereof, is intended to survive such termination: Sections 6, 7, 8 and 9. Expiration or termination of this Agreement for any reason shall not relieve the Parties of any liability or obligation which accrued hereunder prior to the effective date of such termination or expiration, nor preclude either Party from pursuing all rights and remedies it may have hereunder or at law or in equity, subject to Section 9.5, with respect to any breach of this Agreement nor prejudice either Party’s right to obtain performance of any obligation.

Accrued Rights; Surviving Obligations. Except as provided elsewhere, termination or expiration of this Agreement for any reason shall be without prejudice to any rights that shall have accrued to the benefit of any Party prior to such termination or expiration. Such termination or expiration shall not relieve any Party from obligations which are expressly or by implication intended to survive termination or expiration of this Agreement, including, but not limited to, Articles 1, 6 (for the ​ period set forth in Section 6.6), 8 (other than Section 8.5) and 11, and Sections 2.2 (the second sentence of the fourth paragraph only), 2.4 (other than the first sentence), 2.5 (the first and second sentences of the first paragraph, the first sentence of the second paragraph and the third paragraph only) 2.6, 2.7, 5.7, 5.8, 5.9 (for the ​ year period set forth therein), 7.4, 10.1, 10.2.2(c), 10.3 and this [Section 10.4], and shall not affect or prejudice any provision of this Agreement which is expressly or by implication provided to come into effect on, or continue in effect after, such termination or expiration.

Survival of Certain Obligations. Sections 1, 2.3, 4.5, 4.6, 5.8, 5.9, 6.1, 6.2, 6.3, 6.4, 88]8] (with respect to infringements occurring prior to termination, provided that such limitation shall not affect any survival of any portion of Section 8 pursuant to Section 12.5(b)(ii) above), 9, 10.2, 10.3, 11, 12, and 13 and the Parties’ rights and obligations thereunder, shall survive termination or expiration of this Agreement, and termination or expiration of this Agreement for any reason will be without prejudice to any rights that will have accrued to the benefit of any Party prior to such termination or expiration.

Survival Upon Termination. Termination or expiration of this Agreement for any reason shall be without prejudice to any rights that shall have accrued to the benefit of any Party prior to such termination or expiration. Such termination or expiration shall not relieve any Party from obligations which are expressly or by implication intended to survive termination or expiration of this Agreement and shall not affect or prejudice any provision of this Agreement which is expressly or by implication provided to come into effect on, or continue in effect after, such termination or expiration.
