Notwithstanding anything to the contrary in the Agreement, the termination of the Agreement shall not affect the rights and obligations of the Parties, which, from the context of the Agreement, are intended to survive termination or expiration of the Agreement, including:

Accrued Rights; Surviving Obligations. Termination or expiration of this Agreement for any reason shall be without prejudice to any rights that shall have accrued to the benefit of a Party prior to such termination or expiration. Such termination or expiration shall not relieve a Party from obligations that are expressly indicated to survive the termination or expiration of this Agreement. Without limiting the foregoing, [Sections 4.1.10, 5.2, 5.4, 5.5, 5.6, 5.7, 7.3, 7.4, 7.5, 7.6, 7.7, 7.8, 7.9, 8.1]1]1]1]1]1]1]1]1]1]1]1]1]1] (solely for purposes of Abbott’s exercise of its rights pursuant to [Section 13.7.2]), 9.1.1 (solely to the extent any perpetual license grants have been granted pursuant to such Section), 9.2.2 (solely to the extent any perpetual license grants have been granted pursuant to such Section), 9.4, 9.5 (solely to the extent applicable to [Section 9.4]), 9.6 (solely to the extent applicable to [Section 9.4]), 9.7 (solely to the extent applicable to [Section 9.4]), 9.8 (solely to the extent applicable to [Section 9.4]), 9.9 (solely to the extent applicable to [Section 9.4]), 11.3, 12.1, 12.2, 12.3, 12.4, 13.6, 13.7, 13.8, 14.4, 14.6, 14.7, 14.8, 14.9, 14.10, 14.11, 14.12, 14.13, 14.14, 14.15 (solely to the extent applicable to other surviving provisions), 14.17, 14.18, 14.19, 14.20 and this [Section 13.9], and Article 1 (solely to the extent applicable to other surviving provisions) and Article 10 of this Agreement shall survive the termination or expiration of this Agreement for any reason.

Surviving Rights and Obligations. Any provisions required for the interpretation or enforcement of this Agreement shall survive the expiration or termination of this Agreement. Expiration or termination of this Agreement shall not relieve any Party of any obligations that are expressly indicated to survive expiration or termination. Except as otherwise expressly provided, expiration or termination of this Agreement for any reason shall be without prejudice to any rights that shall have accrued to the benefit of any Party prior to such expiration or termination.

Without limitation of the foregoing, Sections 3.4.1 (with respect to, and for the duration, that Development Records are required to be maintained following the effective date of termination or expiration of this Agreement), 3.7 (with respect to Licensed Product under this Agreement), 4.4.1 (with respect to, and for the duration, that Commercialization records are required to be maintained following the effective date of termination or expiration of this Agreement), 8.2-8.7 (only to the extent related to an obligation arising (or activities conducted) prior to the effective date of termination or expiration of this Agreement), 8.9, 8.10, 8.11 (for the specified duration set forth therein), 8.12 (for the specified duration set forth therein), 8.13, 9.5.2, 9.7 (with respect to PARTNER’s obligations, solely to the extent that the ​ expressly extend beyond the effective date of termination or expiration), 9.8, 10.1 (for the specified duration set forth therein), 10.2, 10.6, 11.5 (except for Section 11.5.5 and solely in the event of an expiration of this Agreement to the extent any relevant licenses under REGENX Know-How continue to be granted to PARTNER), 13.3-13.7 and this Section 13.8, ARTICLE 12 and ARTICLE 14, and [Schedule 1] (only to the extent such defined terms are used in the surviving provisions) of this Agreement shall survive the termination or expiration of this Agreement for any reason.

Surviving Obligations. Expiration or earlier termination of this Agreement will not relieve either Party of any obligation accruing prior to or upon such expiration or earlier termination, including that neither Party will be relieved of any payment obligation that may have accrued prior to such expiration or earlier termination. Termination or expiration of this Agreement for any reason shall be without prejudice to any rights that shall have accrued to the benefit of any Party prior to such termination or expiration, including the payment obligations under Article 7 hereof, and any and all damages or remedies arising from any breach hereunder. Such termination or expiration shall not relieve any Party from obligations which are expressly indicated to survive termination of this Agreement.
