Earned and Accrued Payments. The foregoing notwithstanding, upon the termination of the Executive’s employment at any time, for any reason, the Executive shall be paid all amounts that had already been earned and accrued as of the time of termination, including but not limited to # any bonus that had been earned but not yet paid; and # reimbursement for any business expenses accrued in accordance with [Subsection 3(e)].
Earned and Accrued Payments. The foregoing notwithstanding, uponPayments Upon Termination of Employment. If, prior to the terminationexpiration of the Executive’Term, Executives employment at any time,is terminated for any reason, including upon non-extension of the Term, Executive shall be paid allentitled to the following amounts that had already been earnedonly: # payment of his Base Salary accrued up to and accrued asincluding the date of the time of termination, including but not limited to # any bonus that had been earned but not yet paid;termination or resignation; and # reimbursement forupon submission of required documentation, payment of any businessunreimbursed expenses accrued in accordance with [Subsection 3(e)]the Companys business reimbursement policy (collectively, the Accrued Obligations).

Upon a termination of the Executive’s employment at any time, for any reason, the Executive (or Executive’s estate or legal representative, as applicable) shall be entitled to receive, within 30 days after Executive’s Date of Termination (or such earlier date as may be required by applicable law): # any portion of Executive’s Annual Base Salary earned through Executive’s Date of Termination not theretofore paid, # any expenses owed to Executive under Section 3, # any accrued but unused paid all amounts that had already beentime off owed to Executive, solely to the extent applicable under the Company’s paid time off policies; # any Annual Bonus earned and accruedbut unpaid as of the timeDate of termination, including but not limited toTermination, and # any bonus that had been earned but not yet paid; and # reimbursement foramount arising from Executive’s participation in, or benefits under, any business expenses accruedemployee benefit plans, programs, or arrangements under Section 3, which amounts shall be payable in accordance with [Subsection 3(e)].the terms and conditions of such employee benefit plans, programs, or arrangements. Except as otherwise set forth in Sections 6(b) and (c), the payments and benefits described in this Section 6(a) shall be the only payments and benefits payable in the event of Executive’s termination of employment for any reason.

If the Executive’s employment at any time,with the Company is terminated for any reason, the Company shall pay or provide to the Executive (or to the Executive’s authorized representative or estate) # any Base Salary earned through the Date of Termination; # unpaid expense reimbursements (subject to, and in accordance with, Section 2(c) of this Agreement); and # any vested benefits the Executive may have under any employee benefit plan of the Company through the Date of Termination, which vested benefits shall be paid all amounts that had already been earned and accrued as of the time of termination, including but not limited to # any bonus that had been earned but not yet paid; and # reimbursement for any business expenses accruedand/or provided in accordance with [Subsection 3(e)]the terms of such employee benefit plans (collectively, the “Accrued Obligations”).
