General Principles. Except as otherwise provided in this Agreement, each former employee of any member of the [[Party:Organization]] Group or any member of the [[Party:Organization]] Group as of the Distribution Date will be considered a former employee of the [[Party:Organization]] Group or the [[Party:Organization]] Group based on his or her employer as of his or her last day of employment with any member of the [[Party:Organization]] Group or the [[Party:Organization]] Group.

Former [[Party:Organization]] Employees. Former employees of the [[Party:Organization]] Group shall be deemed to include all employees who, as of their last day of employment, were employed by a member of the [[Party:Organization]] Group and will not be either a [[Party:Organization]] Employee or a [[Party:Organization]] Employee for purposes of this Agreement (collectively, the “Former [[Party:Organization]] Employees”).
