Certificate. A certificate of any Lender setting forth any amount or amounts that such Lender is entitled to receive pursuant to this [Section 2.08] shall be delivered to the Borrower and the Administrative Agent and shall be conclusive absent manifest error.

A certificate of anysuch Lender or such Issuing Bank setting forth anythe amount or amounts thatnecessary to compensate such Lender, such Issuing Bank or the Parent Company of such Lender is entitled to receive pursuant toor such Issuing Bank, as the case may be, specified in [[subsection (a) or (b)])]])] of this [Section 2.08]Section shall be delivered to the Borrower and(with a copy to the Administrative AgentAgent) and shall be conclusiveconclusive, absent manifest error.

A certificate of anya Lender or the Issuing Bank setting forth anyin reasonable detail the amount or amounts thatnecessary to compensate such Lender is entitled to receive pursuant toLender, the Issuing Bank or their respective holding company, as the case may be, as specified in paragraph ‎(a) or ‎(b) of this [Section‎[Section 2.08]12] shall be delivered to the Borrower and(with a copy to the Administrative AgentAgent) and shall be conclusive and binding absent manifest error. Borrower shall pay such Lender or Issuing Bank, as the case may be, the amount shown as due on any such certificate within ten (10) Business Days after receipt thereof.

A certificate of anysuch Lender or the LC Issuer setting forth anythe amount or amounts thatnecessary to compensate such Lender, the LC Issuer or the Parent Company of such Lender is entitled to receive pursuant toor the LC Issuer, as the case may be, specified in [[subsection (a) or (b)])]])] of this [Section 2.08]Section shall be delivered to the Borrower and(with a copy to the Administrative AgentAgent) and shall be conclusiveconclusive, absent manifest error.
