You recognize and acknowledge that in the course of your employment with TI, you have obtained private or confidential information and proprietary data relating to TI, including but not limited to TI’s trade secrets (hereinafter "Confidential Information"). TI agrees that it will continue to provide you with access to its Confidential Information to the extent necessary for you to carry out the duties of your employment with TI.

In performing the Work, it is contemplated that [[United Rentals:Organization]] will give Consultant and [[Person A:Person]] access to certain of [[United Rentals:Organization]]’ Trade Secrets (as defined below) and/or Confidential Information (as defined below). “Trade Secrets” shall mean all information not generally known about the business of [[United Rentals:Organization]] which is the subject of efforts that are reasonable under the circumstances to maintain its secrecy or confidentiality and from which [[United Rentals:Organization]] derives economic value from the fact that the information is not generally known to other persons who can obtain economic value from its disclosure or use, and shall include any and all Confidential Information (as defined below) which may be protected as a trade secret under any applicable law, even if not specifically designated as such. Unless told otherwise, Consultant shall treat all Confidential Information (as defined below) as Trade Secrets, and Consultant shall ensure that its Representatives do the same. During and at all times after the term of this Agreement:

During the Participant’s employment with the Corporation or any Affiliate, it is recognised that the Participant may have access to trade secrets and information of a highly confidential nature, including Confidential Information, disclosure of which after termination of employment could seriously harm the interests of the Corporation or any Affiliate. The Participant shall not at any time after termination of employment (otherwise than as required by law) divulge to any person any trade secret or Confidential Information which is the property of the Corporation or any Affiliate.

“Confidential Information and Trade Secrets” includes, but is not limited to, the following information and materials:

patents, copyrights, designs, trademarks, trade secrets, Know-how and the right to have Confidential Information kept confidential; and

As a result of your position and your service on the Company's Senior Management Committee, you have been instrumental in developing the strategic direction of the Company's business and have participated in the development of the Company's overall strategic direction. You also have developed, obtained or learned specific confidential information and trade secrets which are the property of the Company. You hereby covenant and agree to use your best efforts and utmost diligence to guard and protect such confidential information and trade secrets and to not disclose or permit to be disclosed to any third party by any method whatsoever any such confidential information or trade secrets. Confidential information or trade secrets shall include, but not be limited to, any and all records, notes, memoranda, data, ideas, processes, methods, devices, programs, computer software, writings, research, personnel information of whatever nature, in the possession or control of the Company which has not or have not been published or disclosed to the general public or which gives the Company an opportunity to obtain an advantage over competitors who do not know or have access to it.

Confidential and Proprietary Information. CONSULTANT acknowledges that the post-employment terms of the ​ Employee Invention Assignment and Confidentiality Agreement and any offer letter between ​ and CONSULTANT that existed before this Agreement and any release agreement that may be entered into between ​ and CONSULTANT, remain in full force and effect, specifically including the prohibitions against using or disclosing any of ​’s trade secrets or proprietary and/or confidential information learned while employed by ​. CONSULTANT also acknowledges that during the Term, CONSULTANT will have access to and learn additional confidential information and/or trade secrets regarding the business of ​ and its related entities, including, but not limited to, radiosurgery and radiation therapy devices, and various other business, financial, technical and employee information (collectively, “Confidential and Proprietary Information”).

Covenants Regarding Confidential Information, Trade Secrets and Other Matters. Employee covenants and agrees as follows:

CONFIDENTIAL INFORMATION AND DEVELOPMENTS- The Consultant will not at any time, whether during or after the termination of this Agreement for any reason, reveal to any person or entity any of the trade secrets or confidential information concerning the organization, business or finances of the Company or of any third party which the Company is under an obligation to keep confidential, except as may be required in the ordinary course of performing the Consultant Services to the Company, and the Consultant shall keep secret such trade secrets and confidential information and shall not use or attempt to use any such secrets or information in any manner which is designed to injure or cause loss to the Company. Trade secrets or confidential information shall include, but not be limited to, the Company's financial statements and projections, expansion proposals, sales, technical and legal data, property acquisition opportunities and business relationships with banks, lenders and other parties not otherwise publicly available (the “Confidential Information”)

any material adverse change in the treatment and protection of trade secrets or other confidential information of BUTTE; and
