Base Building Security Information:

Collateral Access and Control Agreements. The Administrative Agent shall have received # each Collateral Access Agreement required to be provided pursuant to [Section 4.13] of the Security Agreement and # each Deposit Account Control Agreement required to be provided pursuant to [Section 4.14] of the Security Agreement.

Collateral Access and Control Agreements. The Administrative Agent shall have received each of a Collateral Access Agreement required to be provided pursuant to [Section 4.13] of the Security Agreement.

Access Control; Tenant's Security Systems. Landlord shall provide reasonable access-control services for the Parking Facilities in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Building or Project of any person. Tenant may, at its own expense, install its own security system ("Tenant's Security System") in the Premises, including lobbies and elevators providing access to the Building and Premises. Tenant's Security System shall be installed as an Alteration or Improvement, and subject to the TCCs of Article 8 or the Work Letter, as applicable.

Collateral Access and Control Agreements. The Administrative Agent shall have received # each Collateral Access Agreement required to be provided pursuant to [Section 4.13] of the Domestic Security Agreement (or any equivalent under any other applicable Security Agreement) and # each Deposit Account Control Agreement required to be provided pursuant to [Section 4.14] of the Domestic Security Agreement (or any equivalent under any other applicable Security Agreement).

ACCESS. Seller warrants that there is legal and practical ingress and egress for the Property over public roads or valid, recorded easements for the use and benefit of and as an appurtenance to the Property.

Access. Building entrances; lobbies, passages, corridors, public elevators, stairways, and other common areas may not be encumbered, or obstructed by the contractor, or contractor’s agents during construction of the tenant’s lease premises. Material deliveries must be scheduled in advance through the Management Office and coordinated with the Lincoln Property Company representative. Contractors are not to use Tenant phones, or Restrooms under any circumstances. Construction personnel found using phones, or restrooms located in the tenant’s suite will be asked to immediately leave the premises and will not be allowed to return.

Access. SmartLabs may enter the Licensed Premises at any time, in accordance with the revocable, non-exclusive, non-transferable, non-assignable license granted herein. Notwithstanding the foregoing, Landlord and SmartLabs reserve the right to enter the Licensed Premises upon reasonable prior written or oral notice to Licensee (except that in case of emergency no notice shall be necessary) in order to inspect the Licensed Premises and/or the performance by Licensee of the terms of this Agreement or to exercise SmartLabs’ rights or perform SmartLabs’ obligations hereunder.

Access. For purposes of complying with the terms of this Section 2.3, each Party will cooperate with and make available to the other Parties and its representatives # information, records, data and working papers, and # will permit access to its facilities and personnel, upon advance written notice of not less than two (2) Business Days and during normal business hours, in each case as may be reasonably required in connection with the analysis of the Closing Statement and the resolution of the Disputed Items so long as directly relevant to such analysis; provided, however, # in no event will any Party be required to produce information that cannot be provided by such Party through its respective accounting or Tax reporting principles, methods or policies and reporting systems in the Ordinary Course of Business, # the provision of any information or access pursuant to this Section ‎2.3(f) will be subject to execution of confidentiality agreements as requested by the applicable Party providing such information or access, and # nothing in this Section ‎2.3(f) will require any Party to disclose information that is subject to any applicable privilege, including, without limitation, attorney-client privilege or the privilege of attorney work product.

For purposes of complying with the terms of this Section ‎2(d), each Party will cooperate with and make available to the other parties and its representatives # information, records, data and working papers, and # will permit access to its facilities and personnel, upon advance written notice of not less than two Business Days and during normal business hours, in each case as may be reasonably required in connection with the analysis of the applicable Earn-Out Statement and the resolution of the Disputed Items so long as directly relevant to such analysis; provided, however, # in no event will any Party be required to produce information that cannot be provided by such Party through its respective accounting or Tax reporting principles, methods or policies and reporting systems in the Ordinary Course of Business, # the provision of any information or access pursuant to this Section ‎2(d) will be subject to execution of confidentiality agreements as requested by the applicable Party providing such information or access, and # nothing in this Section ‎2(d) will require any Party to disclose information that is subject to any applicable privilege, including, without limitation, attorney-client privilege or the privilege of attorney work product.
