Litigation. Except as previously disclosed to [[Organization C:Organization]] in writing, there are no: # actions, suits or legal, equitable, arbitration or administrative proceedings pending, or to the knowledge of [[Organization B:Organization]], threatened against [[Organization B:Organization]] which, if determined adversely to [[Organization B:Organization]], may have a Material Adverse Effect; or # outstanding or unpaid judgments against [[Organization B:Organization]].

Litigation. There is no legal action or any proceeding or investigation ("Action") pending or, to the knowledge of [[Organization A:Organization]], threatened against [[Organization A:Organization]] which could have a [[Organization A:Organization]] Material Adverse Effect or a material adverse effect on [[Organization A:Organization]]’s ability to execute and perform this Agreement.

Section # Litigation. There is no pending or, to the knowledge of the [[Organization A:Organization]] or theany Guarantor, threatened action or proceeding affecting the [[Organization A:Organization]] or any of its Significant Subsidiaries before any court, governmental agency or arbitrator, which has, or would reasonably be expected to have, a Material Adverse Effect.

Litigation and Compliance. There is no action, suit or proceeding by any Person pending or threatened, against [[Organization B:Organization]] or, to the best knowledge of [[Organization B:Organization]], against any of its directors or officers, except those, if determined adversely to [[Organization B:Organization]] or any of its directors and executive officers, would not result in, individually or in the aggregate, a Material Adverse Effect (defined below).

Section # Litigation; Observance of Agreements, Statutes and Orders. (a) There are no actions, suits, investigations or proceedings pending or, to the best knowledge of [[Organization A:Organization]], threatened against or affecting [[Organization A:Organization]] or any Subsidiary or any property of [[Organization A:Organization]] or any Subsidiary in any court or before any arbitrator of any kind or before or by any Governmental Authority that could, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
