ABL Credit Agreement. Substantially concurrently with the satisfaction of the other conditions precedent set forth in this Section 4.01(c), the Parent, Holdings, and the Borrower shall have entered into the ABL Credit Agreement and the Agent shall have received # a counterpart of the Intercreditor Agreement, signed by the ABL Agent and acknowledged by the Loan Parties party thereto and # a certificate signed by a Responsible Officer attaching true, correct and complete copies of the material documents relating to the ABL Credit Agreement and certifying that all of such documents are in full force and effect.

ABL Credit Agreement. Substantially concurrently with the satisfaction of the other conditions precedent set forth in this [Section 4.01(c)], the Parent, Holdings, the Borrower, the ABL Agent, the applicable lenders party thereto and the other parties thereto (if any) shall have entered into the ABL Credit Agreement and the Agent shall have received # a counterpart of the Intercreditor Agreement, signed by the ABL Agent and acknowledged by the Loan Parties party thereto. The Agent shall have received a certificate of a Responsible Officer of the Borrower attaching true, correct and complete copies of the ABL Credit Agreement and the Security Agreement (as defined in the ABL Credit Agreement).
