Performance shares may be paid in # cash, # shares of Common Stock or # any combination of cash and shares of Common Stock, as determined by the Plan Administrator in its sole discretion.

Performance Units which become due and payable following the attainment of the applicable performance objectives and the satisfaction of any applicable Service requirement may be paid in # cash, # shares of Common Stock valued at Fair Market Value on the payment date or # a combination of cash and shares of Common Stock as the Plan Administrator shall determine.
