Title Generally contract clause examples

Generally. Except as otherwise expressly provided herein, all notices and other communications shall have been duly given and shall be effective # when delivered, # when transmitted via telecopy (or other facsimile device), # the Business Day following the day on which the same has been delivered prepaid or on an invoice arrangement to a reputable national overnight air courier service, or # the third Business Day following the day on which the same is sent by certified or registered mail, postage prepaid, in each case to the respective parties at the address or telecopy numbers set forth on [Schedule 11.1] or as otherwise provided.

Any such notice or demand and other communications shall have been duly given and shall be effective # when delivered, # when transmitted via telecopy (or other facsimile device), # the Business Day following the day on which the same has been delivered prepaid or on an invoice arrangement to a reputable national overnight air courier service, or # the third Business Day following the day on which the same is sent by certified or registered mail, postage prepaid.

All such notices and communications shall be effective # when sent by any overnight service of recognized standing, on the Business Day following the deposit with such service; # when mailed, by registered or certified mail, first class postage prepaid and addressed as aforesaid, upon receipt; # when delivered by hand, upon delivery; and # when faxed, upon confirmation of receipt.

Notices and other communications sent by hand or overnight courier service, or mailed by certified or registered mail, shall be deemed to have been given when received; notices and other communications sent by telecopier shall be deemed to have been given when sent (except that, if not given during normal business hours for the recipient, shall be deemed to have been given at the opening of business on the next Business Day for the recipient). Notices and other communications delivered through electronic communications to the extent provided in subsection # below shall be effective as provided in such [subsection (b)].

All such notices and other communications # sent by hand or overnight courier service, or mailed by certified or registered mail, shall be deemed to have been given when delivered in person or by courier service and signed for against receipt thereof or three Business Days after dispatch if sent by certified or registered mail, in each case, delivered, sent or mailed (properly addressed) to the relevant party as provided in this Section 9.01 or in accordance with the latest unrevoked direction from such party given in accordance with this Section 9.01 or # sent by facsimile shall be deemed to have been given when sent and when receipt has been confirmed by telephone; provided that notices and other communications sent by telecopier shall be deemed to have been given when sent (except that, if not given during normal business hours for the recipient, such notices or other communications shall be deemed to have been given at the opening of business on the next Business Day for the recipient). Notices and other communications delivered through electronic communications to the extent provided in clause (b) below shall be effective as provided in such clause (b).

Notices. All notices and other communications hereunder shall be in writing and shall be deemed duly delivered # one (1) Business Day after being sent for next Business Day delivery, fees prepaid, via a reputable nationwide overnight courier service, or # on the date of confirmation of receipt of transmission by facsimile or other electronic means (or, the first Business Day following such receipt if the date of such receipt is not a Business Day), in each case to the intended recipient as set forth below:
