Loan Documents. The Administrative Agent shall have received # this Agreement, executed and delivered by a duly authorized officer of the Borrower and each Subsidiary Guarantor, # a Note, executed and delivered by the Borrower in favor of each Lender that has requested a Note, # the Security Agreement, executed and delivered by a duly authorized officer of the Borrower and each Subsidiary Guarantor and # the Agreement Among [[Organization B:Organization]], executed and delivered by each Term Loan Lender, each Revolving Lender and the Administrative Agent;

Executed Loan Documents. The Administrative Agent (or its counsel) shall have received this Agreement duly executed and delivered by the Borrower and each Lender party hereto, a Revolving Credit Note duly executed and delivered by the Borrower in favor of each Revolving Credit Lender requesting a Revolving Credit Note, a Term Loan Note duly executed and delivered by the Borrower in favor of each Term Loan Lender requesting a Term Loan Note, a Swingline Note duly executed and delivered by the Borrower in favor of the Swingline Lender (in each case, if requested thereby), the Collateral Agreement duly executed and delivered by the Borrower and each Guarantor and the Guaranty Agreement duly executed and delivered by the Borrower and each Guarantor.

The Administrative Agent shall have received # certified copies of the resolutions of the board of directors (or comparable governing body) of the Borrower and the Guarantors approving the transactions contemplated by the Loan Documents to which each such Loan Party is a party and the execution and delivery of such Loan Documents to be delivered by such Loan Party on the Effective Date, and all documents evidencing other necessary organizational action and governmental approvals, if any, with respect to the Loan Documents and # all other documents reasonably requested by the Administrative Agent relating to the organization, existence and good standing of the Guarantors and the Borrower and authorization of the transactions contemplated hereby.

Credit Agreement and Other Loan Documents. The Administrative Agent (or its counsel) shall have received # from each party hereto either # a counterpart of this Agreement signed on behalf of such party or # written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic transmission of a signed signature page of this Agreement) that such party has signed a counterpart of this Agreement, # either # a counterpart of each other Loan Document signed on behalf of each party thereto or # written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic transmission of a signed signature page thereof) that each such party has signed a counterpart of such Loan Document and # such other certificates, documents, instruments and agreements as the Administrative Agent shall reasonably request in connection with the transactions contemplated by this Agreement and the other Loan Documents, including any promissory notes requested by a Lender pursuant to [Section 2.10] payable to the order of each such requesting Lender and written opinions of the Loan Parties’ counsel (including local counsel), addressed to the Administrative Agent, the Issuing Bank and the Lenders and the other Secured Parties in substantially the form of Exhibit B, all in form and substance satisfactory to the Administrative Agent and its counsel.

Execution of Credit Agreement; Loan Documents. The [[Administrative Agent:Organization]] shall have received # counterparts of this Agreement, executed by a Responsible Officer of each [[Loan Party:Organization]] and a duly authorized officer of each [[Organization A:Organization]], # for the account of each [[Organization A:Organization]] requesting a Note, a Note executed by a Responsible Officer of the [[Borrower:Organization]], # counterparts of the Security Agreement, each Collateral Document, executed by a Responsible Officer of the applicable Loan Parties and a duly authorized officer of each other Person party thereto, as applicable and # counterparts of any other Loan Document, executed by a Responsible Officer of the applicable [[Loan Party:Organization]] and a duly authorized officer of each other Person party thereto.

Credit Agreement and Other Loan Documents. The Administrative Agent (or its counsel) shall have received # from each party hereto either # a counterpart of this Agreement signed on behalf of such party or # written evidence satisfactory to the Administrative Agent (which may include fax or other electronic transmission of a signed signature page of this Agreement) that such party has signed a counterpart of this Agreement and # duly executed copies of any other Loan Documents to be entered into as of the date hereof and such other certificates, documents, instruments and agreements as the Administrative Agent shall reasonably request be delivered on the Effective Date in connection with the transactions contemplated by this Agreement and the other Loan Documents, including any Notes requested by a Lender pursuant to Section 2.10 payable to such requesting Lender and its registered assigns and a written opinion of the Loan Parties’ counsel, addressed to the Administrative Agent, the Issuing Banks and the Lenders and in form and substance reasonably satisfactory to the Administrative Agent.

Execution of Credit Agreement; Loan Documents. The Administrative Agent shall have received # counterparts of this Agreement, executed by a Responsible Officer of each Loan Party and a duly authorized officer of each Lender, # for the account of each Lender requesting a Note, a Note executed by a Responsible Officer of the Borrower, and # counterparts of any other Loan Document, executed by a Responsible Officer of the applicable Loan Party and a duly authorized officer of each other Person party thereto.

Security Documents. The Administrative Agent shall have received the Guarantee and Collateral Agreement, executed and delivered by an authorized officer of the Borrower and each other Loan Party that is party to the Guarantee and Collateral Agreement.
