Other Termination Events. The Executive hereby agrees that no severance compensation shall be payable upon termination of the Executive’s employment with the Company # by the Company with Cause; # by the Executive without Good Reason; or # as a result of the Executive’s death or Permanent Disability, and the Executive hereby waives any claim for severance compensation except as set forth in Section 4(b).

Other Termination Events. The Executive hereby agrees that no severance compensation shall be payable upon termination of the Executive’s employment with the Company # by the Company with Cause; # by the Executive without Good Reason; or # as a result of the Executive’s death or Permanent Disability, and the Executive hereby waives any claim for severance compensation except as set forth in Section 4(b)5(a).

Other Termination Events. The Executive hereby agrees that no severance compensation shall be payable upon termination ofTermination. If the Executive’s employment with the CompanyEmployment Period is terminated # by the Company with Cause; # by the Executive without Good Reason;for Cause at any time, or # as a result of the Executive’s death or Permanent Disability, and the Executive hereby waives any claim for severance compensation except as set forth in Section 4(b).5(c), by Executive other than for Good Reason, death or Disability, Executive shall not be entitled to any Severance Payments and, except as set forth in Section 5(e), the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease as of the Termination Date.

Other Termination Events. The Executive hereby agrees that no severance compensation shall be payable upon termination ofTermination. In the event Executive’s employment with the Company #terminates for any reason other than as described in Section 9(a)(i) above, including by the Company with Cause; # by the Executive without Good Reason; or # as a resultreason of the Executive’s death or Permanent Disability, the Company’s termination of Executive for Cause, or Executive’s resignation other than for Good Reason, then Executive shall be entitled to receive severance and any other benefits only as may then be established under the Executive hereby waives any claim forCompany’s existing severance compensation except as set forth in Section 4(b).and benefit plans and policies at the time of such termination, if any.

Other Termination Events. Theby the Company for Cause; Termination by Executive hereby agreesWithout Good Reason. In the event that no severance compensation shall be payable upon termination of the Executive’s employment with the Companyis terminated # by the Company with Cause;for Cause (as defined below) or # by the Executive without Good Reason; or # as a result of the Executive’s death or Permanent Disability, and theReason (as defined below), Executive hereby waives any claim for severance compensation except as set forthshall be entitled only to those items identified in Section 4(b)a).
