Default Remedies. Upon the occurrence of an Event of Default, without any presentment, demand, protest, notice of protest and nonpayment, or other notice of any kind, all of which are hereby expressly waived by [[Organization B:Organization]], [[Organization C:Organization]] may, in its sole and absolute discretion, immediately: # terminate or suspend [[Organization B:Organization]]’s right hereunder to submit any Request to [[Organization C:Organization]] for [[Organization C:Organization]] to purchase Participation Interests; # pursuant to the power of attorney conferred to [[Organization C:Organization]] by [[Organization B:Organization]] in connection with this Agreement (and in reliance of Section 10.18 in the event that [[Organization C:Organization]] exercises the following remedy after the occurrence of an Event of Default specified in Sections 9.1(e) or (f)), sell in a recognized market (or otherwise in a commercially reasonable manner) at such price or prices as [[Organization C:Organization]] shall reasonably deem satisfactory, any or all rights, titles and interest of [[Organization C:Organization]] and [[Organization B:Organization]] in and to any or all Participated Mortgage Loans and apply the proceeds thereof to the aggregate outstanding Advances made by [[Organization C:Organization]] in connection with such Participated Mortgage Loans and to any other amounts payable to [[Organization C:Organization]] in connection with this Agreement or any other Warehouse Document, in such order and amounts determined by [[Organization C:Organization]]; # exercise its rights and remedies under any Pledge Agreement, Guaranty Agreement or other Warehouse Document; and/or # exercise any other right or remedy otherwise available to [[Organization C:Organization]] under this Agreement or any other Warehouse Document or at law or in equity. Notwithstanding the foregoing, if an Event of Default specified in Sections 9.1(e) or (f) occurs, fees and other sums due hereunder shall become automatically and immediately due and payable, both without any action by [[Organization C:Organization]] and without presentment, demand, protest, notice of protest and nonpayment, notice of acceleration or of intent to accelerate, or any other notice of any kind, all of which are hereby expressly waived, notwithstanding anything contained herein to the contrary.

Rights of [[Organization A:Organization]] upon Default. Upon the occurrence of any Event of Default (other than an Event of Default described in Sections 3(e) or 3(f)) and at any time thereafter during the continuance of such Event of Default, [[Organization A:Organization]] may, by written notice to [[Organization B:Organization]], declare all outstanding Obligations payable by [[Organization B:Organization]] hereunder to be immediately due and payable without presentment, demand, protest or any other notice of any kind, all of which are hereby expressly waived, anything contained herein or in the Agreement to the contrary notwithstanding. Upon the occurrence of any Event of Default described in Sections 3(e) and 3(f), immediately and without notice, all outstanding Obligations payable by [[Organization B:Organization]] hereunder shall automatically become immediately due and payable, without presentment, demand, protest or any other notice of any kind, all of which are hereby expressly waived, anything contained herein or in the Agreement to the contrary notwithstanding. In addition to the foregoing remedies, upon the occurrence and during the continuance of any Event of Default, [[Organization A:Organization]] may exercise any other right, power or remedy granted to it by the Transaction Documents or otherwise permitted to it by law, either by suit in equity or by action at law, or both.

Rights and Remedies Upon Default. Upon the occurrence of any Event of Default, the ​ without demand of performance or other demand, presentment, protest, advertisement or notice of any kind (except any notice required by law) to or upon the ​ or any other person (all and each of which demands, presentments, protests, advertisements and notices are hereby waived), may exercise all rights and remedies under the ​’s agreements with the ​ or its Affiliates, applicable law, in equity or otherwise and may declare all or any part of any amounts due hereunder not payable on demand to be immediately due and payable without demand or notice of any kind and terminate any obligation it may have to grant any additional loan, credit or other financial accommodation to the ​. All or any part of any amounts due hereunder whether or not payable on demand, shall be immediately due and payable automatically upon the occurrence of an Event of Default in sub-paragraph # above, or at the ​’s option, upon the occurrence of any other Event of Default. The provisions hereof are not intended in any way to affect any rights of the ​ with respect to any amounts due hereunder which may now or hereafter be payable on demand.

Rights and Remedies Upon Default. Upon the occurrence of any Event of Default, the ​ without demand of performance or other demand, presentment, protest, advertisement or notice of any kind (except any notice required by law) to or upon the [[Organization A:Organization]], any Subsidiary or any other person (all and each of which demands, presentments, protests, advertisements and notices are hereby waived), may exercise all rights and remedies under the [[Organization A:Organization]]’s or its Subsidiaries’ agreements with the ​ or its Affiliates, applicable law, in equity or otherwise and may declare all or any part of any Obligations not payable on demand to be immediately due and payable without demand or notice of any kind and terminate any obligation it may have to grant any additional loan, credit or other financial accommodation to the [[Organization A:Organization]] or any Subsidiary. All or any part of any Obligations whether or not payable on demand, shall be immediately due and payable automatically upon the occurrence of an Event of Default in sub-paragraph # above. The provisions hereof are not intended in any way to affect any rights of the ​ with respect to any Obligations which may now or hereafter be payable on demand.
