Other than as set forth in this Agreement, each Party hereby represents and warrants to the other that she/he/it has not sold, assigned, conveyed, pledged, encumbered, or otherwise in any way transferred to any person or entity any interest in the rights, claims, or causes of action he/it is releasing in this Agreement.

The Parties warrant and represent that each has not assigned, transferred, or conveyed, or purported to have assigned, transferred, or conveyed to any person or entity any claim, demand, debt, liability, account, obligation, or cause of action herein released.

Non-assignment of Claims. Each Party warrants and represents that he or it has not transferred or assigned to any other person, firm, corporation or other legal entity any claims, rights or causes of action against any person or entity released by this Agreement.

Each party represents and warrants that there has been no assignment or transfer of or giving of a security interest in or encumbrance upon any interest in any claim which he/it or his/its Affiliates may have against any other party. Each of the parties further represents that such party: # has carefully read this Agreement; # knows the contents of this Agreement; # has had the advice of counsel of such party’s choosing in connection with the subject matter hereof, and the advice thereof is reflected in the provisions of this Agreement; and # has not been influenced to any extent whatsoever in doing so by any other party or by any other person or entity, except for those representations, statements and promises expressly set forth herein.
