letter of credit fees with respect to all Letters of Credit (the “L/C Fee”) equal to # the Applicable Rate for Revolving Loans that are Eurocurrency Rate Loans (prior to the Amendment No. 4 Effective Date) or SOFR Loans (on and after the Amendment No. 4 Effective Date), times # the average aggregate daily maximum amount available to be drawn under all Letters of Credit (regardless of whether any conditions for drawing could then be met and determined as of the close of business on any date of determination and whether or not such maximum amount is then in effect under such Letter of Credit if such maximum amount increases periodically pursuant to the terms of such Letter of Credit).

Letter of Credit Fees. The Borrower also agrees to pay to the Revolving [[Organization B:Organization]] letter of credit fees equal to # the Applicable Margin for Revolving Loans that are Benchmark Rate Loans, times # the average aggregate daily maximum amount available to be drawn under all such Letters of Credit (regardless of whether any conditions for drawing could then be met and determined as of the close of business on any date of determination); provided, during any period during which default rate interest is applicable under [Section 2.06(c)], the percentage referred to in the [foregoing clause (i)] shall be the Applicable Margin for Revolving Loans that are Benchmark Rate Loans plus 2.00% per annum. Accrued letter of credit shall be payable in arrears # on the last Business Day of March, June, September and December of each year, commencing on the first such date to occur after the Closing Date, and # on the date on which the Revolving Commitment terminates. Letter of credit fees shall be computed on the basis of a year of 360 days and shall be payable for the actual number of days elapsed (including the first day but excluding the last day).
