License: Licensors hereby convey to Insynergy a license to the products in the Product Categories for the Term and in the Territory, subject to any additional the terms described herein and the terms contained in the definitive license agreement (the “Definitive License Agreement”) and related agreements. Licensor and Insynergy hereby agree that by the tenth (10th) day after execution of this Letter of Intent, they shall confer and agree on a list of specific products which shall be subject to the license granted hereunder and which shall be incorporated in the Definitive Agreements.

“BLA Services” means pre biologics license application activities services to be performed in respect of the Product to support a License application.

Software. Software provided to Owners by Service Provider shall be subject to the license provisions set forth in Exhibit G (IP License).

If applicable, each copyright license, including, without limitation, each copyright license listed on [Schedule 3] annexed hereto, together with all goodwill associated therewith;

​ Hosting License. Kx hereby grants [[Appian:Organization]] ​. The foregoing license grant is subject to the terms and conditions set forth in [section 4.5] below.

Reference is hereby made to that certain License Agreement between FB Health S.p.A (“FB Health”) and [[Organization A:Organization]] (“Bellus”), of even date herewith (the “Bellus License Agreement”). All capitalized terms used but not defined herein shall have the meaning set forth in the Bellus License Agreement.

“License Agreements” means that certain License and Assignment Agreement between GSK and Chengdu Bater Pharmaceutical Co., Ltd (“Bater”), dated July 15, 2013 and that certain Development and License Agreement between GSK and Traditional Chinese Medical Hospital, Xinjiang Medical University, dated September 25, 2014 (“Xinjiang”, together with Bater the “Licensors”).

Data Licenses. Buyer shall own the Buyer Promoted Interest share of the Data generated under the Seismic Acquisition Agreement and delivered hereunder. Whether or not Seller has funded any portion of the 3-D Survey, Compass and Tamarack shall each be entitled to receive, at no cost, one (1) license of the Data pursuant to the terms of a Seismic License and Data Use Agreement (“License Agreement”), in the form of the attached [Exhibit F]. The License Agreement shall be executed by Compass and Tamarack upon delivery of the Data to each of them, and neither Compass nor Tamarack shall sell, transfer, license or disclose the Data, in whole or in part, except that Compass may grant full and unrestricted access to its license to CCF and HOPPS, as permitted by the terms of the License Agreement. Each party shall be responsible for and pay the cost of all copies of Data provided to such party. Seller shall only have the right to disclose Data to third parties in accordance with the License Agreement.
