Government and Economic Development Reporting contract clause examples

If Licensor requests, Licensee will provide information for Licensor’s Government and economic development reporting purposes, including, to the extent such information is required to be disclosed under federal or state law, the following:

Government Reporting. Eversana shall provide the government price reporting and other services specified in the Government Program Pricing & Rebate Administration Services section of Exhibit A attached hereto, in accordance with those agreements of Evoke with each of the Centers for Medicare & Medicaid Services (CMS), the Public Health Service (PHS), and the Department of Veterans Affairs.

Development Reporting. ​, with respect to any Development activities conducted by or on behalf of either Party with respect to the Licensed Antibodies or Licensed Products under this Agreement, within ​ following the end of ​, each Party shall prepare and provide to the other Party and the JDC (or the JSC, if the JDC is no longer meeting) a detailed written report that summarizes: # the Development activities (including CMC Development and other Manufacturing-related Development activities) performed and the status of activities and progress with respect to the activities set forth in the Global Development Plan (including enrollment data), and shall identify any issues or circumstances of which it is aware that may prevent or adversely affect in a material manner its future performance of activities assigned to it under the then-current Global Development Plan, and # all material Data generated since the last ​ report (each, a “Development Report”). Solely in the event that, and for so long as, the effects of forced opt-out set forth in [Section 6.7.4] (Effects of Forced Opt-Out) apply, the Development Reports provided by GSK to the JSC pursuant to this [Section 3.6] (Development Reporting) will include GSK’s ​ ITEOS’s JSC representatives may review, but will have no right to comment on or approve. Each Party and the JDC (or the JSC, if the JDC is no longer meeting) shall have the right to review all reports and Data related to any Clinical Trials for a Licensed Product, whether such reports are generated by or on behalf of GSK, ITEOS, a Sublicensee or a subcontractor. Each Party will respond to the reasonable questions or requests of the other Party’s JDC representatives (or JSC representatives, if the JDC is no longer meeting), as applicable, for additional information relating to such Party’s Development activities under this Agreement in a timely manner.

Development Reporting. No later than ​ of any Calendar Year during which Licensee or its Affiliates or Sublicensees are performing any Development activities with respect to the Licensed Compounds or Licensed Products, or is Manufacturing or having Manufactured any supplies of the Licensed Compounds or Licensed Products for Development purposes, Licensee will provide Licensor with reasonably detailed written reports of the material Development and material Manufacturing activities it or its Affiliates or its Sublicensees have performed, or caused to be performed, since the preceding report, its material Development and material Manufacturing activities in process, and the future activities it expects to initiate. Each such report will contain sufficient detail to enable Licensor to assess Licensee’s compliance with its obligations set forth in Section 4.2 (Diligence Obligations), including: # a summary of Licensee’s or its Affiliates’ or Sublicensees’ activities with respect to achieving Regulatory Approvals of each Licensed Product in the Field, and # a summary of each Clinical Trial and the results of each such Clinical Trial for a Licensed Product conducted during the period covered by such report.

When Economic Costs are payable

An Economic Event is taken to have occurred if, at any time while a Yield Rate or an Interest Rate (other than a variable Interest Rate) applies to a Facility, a Facility Component, a Loan Account or a Drawing:

Economic Benefit. The Company shall determine the economic benefit attributable to the Executive based on the life insurance premium factor for the Executive’s age multiplied by the amount of current life insurance protection payable to the Executive’s beneficiary. The “life insurance premium factor” is the minimum amount required to be imputed under Treasury Regulation § 1.61-22(d)(3)(ii), or any subsequent applicable authority.

Reporting. On a Collaboration Target-by-Collaboration Target basis, following the License Effective Date with respect to the Licensed Development Candidate(s) Directed to such Collaboration Target, until ​, BMS shall update MTEM on a ​ basis regarding its Development activities with respect to Licensed Products Directed to such Collaboration Target at a level of detail reasonably necessary for MTEM to determine BMS’ compliance with its obligations under [Section 6.6]. BMS shall provide further information as MTEM may reasonably request regarding the foregoing.

Reporting. Each LC Issuer will report in writing to the Administrative Agent # on the first Business Day of each calendar month, the aggregate face amount of Letters of Credit issued by it and outstanding as of the last Business Day of the preceding calendar month (and on such other dates as the Administrative Agent may request), # on or prior to each Business Day on which such LC Issuer expects to issue, amend, renew or extend any Letter of Credit, the date of such issuance or amendment, and the aggregate face amount of Letters of Credit to be issued, amended, renewed or extended by it and outstanding after giving effect to such issuance, amendment, renewal or extension (and such LC Issuer shall advise the Administrative Agent on such Business Day whether such issuance, amendment, renewal or extension occurred and whether the amount thereof changed), # on each Business Day on which such LC Issuer makes any LC Disbursement, the date and amount of such LC Disbursement and # on any Business Day on which the Borrowers fail to reimburse an LC Disbursement required to be reimbursed to such LC Issuer on such day, the date and amount of such failure.

Reporting. The Borrower will maintain for itself, or cause to be maintained, a system of accounting established and administered in accordance with GAAP and furnish or cause to be furnished to the Administrative Agent, each Lender and each Hedge Counterparty, if any, and, in the case of Monthly Reports, Monthly Loan Tapes and notices of material events, each Lender, the Securities Intermediary and the Backup Servicer:
