Full Disclosure. Neither this Agreement nor any certificate, financial statement or other writing provided to the [[Lender:Organization]] by or on behalf of the [[Organization A:Organization]] or any Subsidiary contains any statement of fact that is incorrect or misleading in any material respect or omits to state any fact necessary to make any such statement not incorrect or misleading. The [[Organization A:Organization]] has not failed to disclose to the [[Lender:Organization]] any fact that might have a material adverse effect on the [[Organization A:Organization]] or any Subsidiary.

SECTION # Disclosure. No representations or warranties made by, or written or other formally presented information (other than information of a general economic or industry specific nature) supplied by, [[Company:Organization]] or any of [[Subsidiaries:Organization]] in this Agreement, any other Loan Document or in any other document, including without limitation the Lender Presentation and any Beneficial Ownership Certification, furnished to [[Organization A:Organization]] from time to time in connection herewith or therewith (as such other documents may be supplemented or updated from time to time), taken as a whole, contains any untrue statement of a material fact or omits to state any material fact necessary to make the statements herein or therein, in light of the circumstances under which they were made, not materially misleading; provided that with respect to projected financial information, including the Projections, [[Company:Organization]] represents only that such information was prepared in good faith based upon assumptions believed to be reasonable at the time.

Section # Disclosure. None of the reports, certificates or other written information furnished by or on behalf of [[Parties:Organization]] to [[Organization A:Organization]] or any Lender in connection with the negotiation of this Agreement or furnished hereunder on or prior to the Effective Date (as modified or supplemented by all other information so furnished on or prior to the Effective Date), when taken as a whole and together with the Disclosed Matters, contains as of the Effective Date any material misstatement of fact or omits to state a material fact necessary to make the statements therein, in the light of the circumstances under which they were made, not materially misleading; provided that # with respect to financial projections or other forward-looking information, [[Parties:Organization]] represents only that such information was prepared in good faith based upon assumptions believed by it to be reasonable at the time made and at the time made available to [[Organization A:Organization]] (it being understood that financial projections or other forward-looking information are subject to significant uncertainties and contingencies, many of which are beyond the control of [[Parties:Organization]], that actual results or events may differ significantly from the projected or forecasted results or events and such differences may be material) and # no representation is made herein with respect to information of a general economic or industry specific nature.
