Financial Capability. The Purchaser at each Closing will have available funds necessary to consummate each Closing of the Purchase Securities to be purchased by it on the terms and conditions contemplated by this Agreement.

Financial Capability. Purchaser has, and will have as of the Closing, sufficient cash on hand or other sources of immediately available funds to pay the Purchase Price and to perform its obligations hereunder. Purchaser and Merger Sub have not incurred any obligation, commitment, restriction or liability of any kind that would impair or adversely affect such resources and capabilities.

Availability of Funds. The Purchaser will have all of the funds necessary to pay the Purchase Price and consummate the Transactions under this Agreement at the Closing.
