This Agreement and any amendments, waivers, consents or supplements hereto may be executed in any number of counterparts, and by different Parties hereto in separate counterparts, each of which when so delivered shall be deemed an original, but all of which counterparts shall constitute but one and the same instrument, and counterparts may be effectively delivered by facsimile (fax) transmission or other electronic means.

The Company entered into an Indemnification Agreement with each of Steve Parry; Wayne Boulais; Michael Ford; Denise Karkkainen; Todd Lillibridge; Kevin O’Meara; Geoffrey D. Krause; Jeffrey A. Calkins; Mark Greffen; Lindsay Gusso; [[Person B:Person]]; and Jennifer Warawa that is identical to the one entered into with [[Person A:Person]]

Execution and Delivery. Each of the Loan Parties and the Banks listed on the signature pages hereto shall have executed and delivered to the Administrative Agent this Amendment.

Execution and Delivery. Each Obligor and the Required Holders shall have executed and delivered a counterpart of this Amendment Agreement.

Execution and Delivery. The Borrower, the Lenders (or at least the requisite percentage thereof), and the Administrative Agent shall have executed and delivered this Amendment and each other required document, all in form and substance satisfactory to the Administrative Agent.

EXECUTION AND DELIVERY. The New Guarantor agrees that its Note Guarantee shall remain in full force and effect notwithstanding any failure to endorse on each Security a notation of such Note Guarantee.

Execution and Delivery. Each Loan Party, the Administrative Agent, the Issuing Banks, and each of the Lenders shall have executed and delivered this Amendment.

This Agreement may be executed and delivered by the Parties in counterparts and all such counterparts shall together constitute one and the same agreement.

Execution and Delivery. The execution of this Lease by Tenant and delivery of the same to Landlord or Landlord’s Management Agent do not constitute a reservation of or option to lease the Premises or an agreement by Landlord to enter into a Lease, and this Lease shall become effective only if and when Tenant and Landlord executes this Lease and Landlord delivers a counterpart hereof to Tenant.

Execution and Delivery. This Agreement is effective only when signed and delivered by all parties. This Agreement (including all exhibits hereto) may for all purposes be executed in several counterparts, each of which shall be deemed an original, and all such counterparts, taken together, shall constitute one and the same instrument, even though all parties may not have executed the same counterpart.
