Other Termination. If the Employment Period is terminated # by the Company for Cause at any time, or # except as set forth in [Section 5(c)], by Executive other than for Good Reason, death or Disability, Executive shall not be entitled to any Severance Payments and, except as set forth in [Section 5(e)], the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease as of the Termination Date.

Other Termination. IfIn the Employment Period is terminated # by the Companyevent Executive’s employment terminates for Cause at any time, or # exceptreason other than as set forthdescribed in [Section 5(c)9(a)(i)], above, including by reason of Executive’s death or Disability, the Company’s termination of Executive for Cause, or Executive’s resignation other than for Good Reason, death or Disability,then Executive shall not be entitled to receive severance and any Severance Payments and, exceptother benefits only as set forth in [Section 5(e)],may then be established under the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease asexisting severance and benefit plans and policies at the time of the Termination Date.such termination, if any.

Termination by the Company Other than for Cause atDue Cause, Death or Disability. The foregoing notwithstanding, the Company may terminate the Executive’s employment for any time, or no reason, as it may deem appropriate in its sole discretion and judgment; provided, however, that in the event such termination is not due to Death, Disability or Due Cause, the Executive shall # exceptbe entitled to a Termination Payment as hereinafter defined and # be sent written notice stating the termination is not due to Death, Disability or Due Cause. In the event of such termination by the Company, the Executive shall receive certain payments and benefits as set forth in [Section 5(c)], by Executive other than for Good Reason, death or Disability, Executive shall not be entitled to any Severance Payments and, except as set forth in [Section 5(e)], the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease as of the Termination Date.​.

The foregoing shall be in addition to, and not in lieu of, any Severance Payments and, except as set forthand all other rights and remedies which may be available to the Company under the circumstances, whether at law or in [Section 5(e)], the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease as of the Termination Date.equity.

Executive shall not be entitled to receive Severance Benefits, and the Employment PeriodCompany shall have no obligation under this Agreement, if his employment is terminated # by the Companyunder circumstances that do not constitute a Qualifying Termination, including, but not limited to, Disability, Retirement, death, termination for Cause at any time, or # except as set forth in [Section 5(c)],termination by Executive other than for Good Reason, death or Disability, Executive shall not be entitled to any Severance Payments and, except as set forth in [Section 5(e)], the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease as of the Termination Date.Reason.

Termination of Employment. Notwithstanding anything herein to the Employment Period is terminated # bycontrary, Executive’s employment with the Company may end prior to ​, as a result of # the Company’s termination of Executive’s employment for Cause at any time, or # exceptExecutive’s death or Disability. In the event of such earlier termination of employment, Executive shall receive no further payments hereunder and all then outstanding equity awards shall be governed as set forth in [Section 5(c)]the applicable Award Agreement (e.g., by Executive other thanon account of a termination as a result of death, disability or for Good Reason, death or Disability, Executive shall not be entitled to any Severance Payments and, exceptcause as defined and set forth therein). For purposes of this Agreement, the terms “Cause” and “Disability” shall have the meanings assigned to such terms in [Section 5(e)], the Company’s obligation to make any other payments or provide any other benefits under this Agreement shall cease as of the Termination Date.​ Severance Plan (the “Severance Plan”).
