Title. Seller has good and valid title to the Transferred Shares [and the Transferred Dutch Shares] and has not entered into any arrangement or agreement to transfer, assign or otherwise subject the Transferred Shares [and the Transferred Dutch Shares] to any Encumbrances in any manner.
